To become a Responsible Officer (RO) at the Securities and Futures Commission (SFC), one must meet four core requirements: academic qualifications or industry certifications, three years of relevant industry experience within the past six years, two years of management experience, and passing the Local Regulatory Framework Paper (LRP). The "relevance" of experience, rather than its "geographical" nature:The Securities and Futures Commission (SFC) primarily examines whether the substance of past experience is directly related to the regulated activities to be undertaken, rather than being limited by the location where the experience was acquired. As long as the applicant can prove that their past work involved core businesses such as securities, futures, asset management, or corporate finance, the SFC will recognize the experience regardless of whether it was acquired in major financial markets such as Hong Kong, Mainland China, the United States, the United Kingdom, or Canada. ​

  2. Correspondence between operating models and license types:The Securities and Futures Commission (SFC) will consider the new employer company’s business model, governance structure and overall staff competence to make a comprehensive judgment on whether the RO applicant’s experience is suitable for the company’s actual operational needs.  

  3. Management experience:All you need is subordinates who have performed management functions; a high-ranking title is not required, and experience in Hong Kong is not mandatory. Generally, as long as you can prove you have at least two years of experience managing a team within the past six years, that's sufficient.

Q1:Can someone without local Hong Kong work experience apply to become an SFC (Responsible Officer)?

A:Yes. The SFC's core approval process focuses on the applicant's competence, not the place of work. As long as you can provide proof of experience in relevant functions at overseas financial institutions (including Mainland China, the United States, Singapore, etc.) and are nominated by a licensed corporation in Hong Kong, the SFC will review your application on a case-by-case basis. "Overseas experience is handled the same as local experience; the core is the 'nature of experience' rather than the 'location of experience.'" For example, having worked in asset management at a mainland securities firm for more than 3 years and possessing 2 years of team management experience still makes it possible to meet the eligibility requirements for a Type 9 RO license.

A:The Securities and Futures Commission (SFC) will not examine relevant industry experience from a narrow or restrictive perspective. Specifically, the SFC will consider the new employer's business model, governance structure, and the overall competence of its personnel to comprehensively assess whether the applicant's experience aligns with the company's actual operational needs. 

Example 1 (Technological Background):If the regulated activities of a licensed corporation are based on highly innovative technologies (such as robo-advisory services that use algorithms for portfolio management), the applicant's direct experience in the relevant technology field may be considered a key part of "relevant industry experience." The SFC will consider whether the applicant has led the development, design, or maintenance of the technology, platform, or system, and that the technology must be a core element of the licensed corporation's regulated activities. 

Example 2 (Bond Placement and Underwriting): If the regulated activity that the licensed corporation intends to engage in is the placement and underwriting of bonds, and the RO applicant's past experience is limited to traditional brokerage stock trading and does not involve bond issuance, pricing, distribution, or underwriting arrangements, then the substance of that experience is not directly related to the regulated activity to be undertaken. In this case, the likelihood of approval for an RO based solely on a stockbrokerage background is low.

A:Recognized. The Securities and Futures Commission (SFC) adopts a fairly open attitude towards the qualifications of securities, fund, and futures practitioners in Mainland China. For example, the professional qualification records of mainland practitioners on the websites of the Securities Association of China, the Asset Management Association of China, or the China Futures Association are authoritative documents proving their past work experience. When preparing application documents, a detailed list of the scope of responsibilities, asset classes involved, and supporting documentation for the management team should be provided.
